Agreement Scope

These Terms and Conditions govern access to and use of OORG websites, documentation, workspace applications, APIs, desktop software, integrations, content, and related services made available by OORG Systems.

Acceptance

By accessing, registering for, purchasing, connecting to, or using OORG, the customer and each authorized user agree to be bound by these Terms and Conditions and by any additional policies or product terms that are expressly incorporated into them.

Business use

OORG is intended for business, professional, and organizational use. The individual accepting these terms on behalf of an organization represents that they have authority to bind that organization to this agreement.

Accounts and Workspace Responsibility

Customers are responsible for their workspaces, authorized users, administrators, settings, integrations, and all activity that occurs through their accounts.

Customer obligations

  • Provide accurate registration, identity, billing, and workspace information
  • Maintain the confidentiality of login credentials and administrative access
  • Configure permissions, monitoring settings, and integrations responsibly
  • Use the service only for lawful business purposes and with appropriate notices, consents, and internal policies

Administrator responsibility

Workspace owners and administrators control user access, module activation, organization structure, and certain monitoring or communication settings. Customers are responsible for deciding whether specific workflows, including productivity monitoring, screenshot capture, attendance rules, messaging campaigns, or third-party integrations, are appropriate for their organization and jurisdiction.

Permitted Use

OORG may be used only in a manner consistent with applicable law, these terms, and legitimate business operations.

Prohibited conduct

  • Reverse engineering, unauthorized access, penetration attempts, or interference with the service
  • Spam, phishing, deceptive messaging, impersonation, or unlawful surveillance
  • Uploading malware, harmful code, or content that violates intellectual property, privacy, employment, consumer protection, or communications law
  • Using the platform to process data or run campaigns without the permissions, approvals, notices, or lawful basis required by the customer's jurisdiction or industry

Customer Data

Customers retain responsibility for the legality, quality, accuracy, and rights associated with the data they submit to OORG.

Ownership and license

As between OORG and the customer, the customer retains rights in customer data. The customer grants OORG a limited, non-exclusive right to host, copy, transmit, process, display, and otherwise use customer data only as necessary to operate, secure, support, and improve the contracted service in accordance with these terms and the Privacy Policy.

Sensitive workflows

If customers use OORG for employee monitoring, screenshot collection, attendance compliance, communications, lead management, or third-party messaging, customers are responsible for ensuring appropriate internal disclosures, workplace notices, permissions, and lawful processing standards.

Third-Party Services

OORG may interoperate with third-party platforms such as Google, Meta, WhatsApp, payment processors, storage services, email providers, hosting providers, and other connected systems.

Third-party conditions

  • Use of a third-party integration may require a separate account with that provider
  • Customer use of a third-party service remains subject to that provider's terms and policies
  • OORG is not responsible for interruptions, policy changes, suspensions, or data practices of third-party providers

Fees, Billing, and Renewals

Paid plans, subscriptions, add-ons, implementation services, or usage-based features may be subject to fees, billing terms, taxes, seat commitments, renewal cycles, or separate order terms.

Billing expectations

  • Charges must be paid when due using an approved payment method
  • Taxes, duties, and similar government assessments are the customer's responsibility unless stated otherwise
  • OORG may suspend or limit paid features for overdue accounts after appropriate notice where commercially reasonable

Unless expressly stated otherwise in a written order, fees are non-refundable once the relevant subscription period or service commitment has started.

Availability, Changes, and Beta Features

OORG works to maintain reliable service but does not guarantee uninterrupted or error-free operation at all times.

Service evolution

OORG may add, remove, update, or modify features, modules, integrations, APIs, UI elements, or technical requirements when reasonably necessary for product improvement, security, compliance, or operational stability.

Beta and preview features

Any beta, pilot, preview, or early-access feature may be offered as-is, may be changed or withdrawn at any time, and may be subject to additional usage limits.

Suspension and Termination

OORG may suspend, restrict, or terminate access where necessary to protect the service, comply with law, address non-payment, investigate abuse, or respond to material breaches of these terms.

Examples of suspension triggers

  • Credible security risk or unauthorized access activity
  • Misuse of integrations, messaging channels, or monitoring tools
  • Repeated violations of platform rules or legal obligations
  • Failure to pay fees under an applicable commercial plan

Customers may stop using the service at any time, subject to any active subscription, implementation, or contractual commitments already in effect.

Intellectual Property

OORG and its licensors retain all rights, title, and interest in the platform, software, APIs, documentation, designs, branding, and related materials, excluding customer data and third-party property.

Restrictions

No right is granted to copy, resell, sublicense, distribute, or create derivative commercial services from OORG except as expressly permitted in writing.

Disclaimers

Except to the extent prohibited by law or expressly stated in a written agreement, OORG is provided on an as-available and as-provided basis. OORG disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Limitation of Liability

To the maximum extent permitted by law, OORG will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to the service.

To the maximum extent permitted by law, OORG's aggregate liability arising out of or related to the service will not exceed the amount paid by the customer to OORG for the applicable paid service during the twelve months preceding the event giving rise to the claim, or, if no fees were paid, a commercially reasonable nominal amount.

Indemnity

Customers agree to defend, indemnify, and hold harmless OORG, its affiliates, and personnel from claims, losses, liabilities, damages, and costs arising from customer data, customer use of the service, customer violations of law, or customer breach of these terms.

Governing Law and Disputes

These Terms and Conditions are governed by the laws applicable to the contracting OORG entity and the agreed commercial relationship, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes in good faith before pursuing formal proceedings.

Updates to These Terms

OORG may update these Terms and Conditions to reflect legal, operational, product, or security changes. Continued use of the service after an updated version becomes effective constitutes acceptance of the revised terms.
